Terms of service
Please read these terms alongside your written proposal or service agreement.
1. Scope and agreement
These terms describe the basis on which SIMBA SUPPLY LLC offers business-to-business media buying and marketing consulting. A signed proposal, statement of work or service agreement specifies the actual engagement. In a conflict, the signed agreement takes precedence to the extent permitted by applicable law. An inquiry is not acceptance of a paid engagement.
2. Services and deliverables
Services may include Google Ads and Meta campaign planning, account structure, campaign setup, creative coordination, testing, optimization, reporting and e-commerce marketing consulting. Only deliverables expressly included in the agreement are owed. Additional channels, creative production, website changes or tracking work require an agreed scope.
3. Fees and advertising spend
Fees, currency, taxes where applicable, invoicing and payment dates are specified before work begins. Service fees are distinct from advertising budgets and third-party costs. The agreement identifies who pays the advertising platforms. Where a client provides funds for agreed media spend, the purpose, spending authorization, reconciliation and treatment of unused amounts must be documented. No spending beyond an authorized budget is agreed without client approval.
4. Client responsibilities
The client must provide accurate business and product information, lawful advertising materials, timely approvals and appropriate access permissions. The client is responsible for its products, fulfillment, customer service, required disclosures and rights to supplied materials. Passwords and payment details should not be sent by ordinary inquiry email.
5. Platform policies and measurement
Advertising is subject to platform rules, review decisions and account restrictions. Platforms may reject ads, change features or suspend accounts. Measurement can be affected by consent choices, attribution models and technical limits. Account access and tracking arrangements are defined for each engagement.
6. No guaranteed performance
We do not guarantee a particular sales volume, lead count, conversion rate, revenue or return on advertising spend. Forecasts and objectives are estimates, not promises. Market conditions, the client’s offer, budget, competition and platform changes can affect results.
7. Confidentiality and data
Non-public business information shared for an engagement is to be used for the agreed services and disclosed only as needed to authorized personnel, service providers or as required by law. Any processing of client-controlled personal data requires suitable contractual instructions and data protection arrangements where applicable.
8. Materials and ownership
Clients retain their pre-existing intellectual property and account rights. Ownership or licensing of newly created deliverables, payment conditions and handover requirements are specified in the service agreement. Third-party assets remain subject to their respective licenses.
9. Changes, pauses and termination
Scope changes, renewal periods, notice requirements and termination arrangements are governed by the signed agreement. Requests should be made in writing. Work and commitments already authorized remain subject to that agreement and applicable law. See the Cancellation & Refunds policy for the general process.
10. Responsibility and disputes
Neither party excludes responsibility that cannot lawfully be excluded. Any contractual limits of liability must be set out in the signed agreement. Please notify us promptly of a concern so that we can investigate and seek a resolution. The governing law and dispute forum, if agreed, are specified in the client agreement and remain subject to mandatory law.
11. Updates and contact
Website terms may be updated prospectively. Changes do not retrospectively amend an existing signed agreement without the required agreement of the parties. Contact SIMBA SUPPLY LLC at contact@simbamind.store or +1 505 336 3441.
